Terms & Conditions.

These Terms & Conditions (the “Terms”) govern your access to and use of PremiereCopilot (the “Software”), the website at premierecopilot.com, and any related services. PremiereCopilot is operated from Paris, France. By installing, registering for, or using the Software, you agree to be bound by these Terms.

1. Acceptance of terms.

By creating an account, downloading the plugin, or using any feature of PremiereCopilot, you confirm that (a) you have read and understood these Terms, (b) you are at least 16 years old or have the consent of a legal guardian, and (c) you accept the Terms on behalf of yourself or the entity you represent.

If you do not agree to any part of these Terms, do not install or use the Software.

2. License grant.

PremiereCopilot grants you a non-exclusive, non-transferable, revocable license to install and use the Software in accordance with these Terms and the plan you have purchased.

This license is subject to the following limits:

• Individual subscriptions allow installation on up to two (2) machines belonging to the same user (e.g. a laptop and a desktop).
• Studio (team) plans allow up to four (4) named seats, each linked to one named user.
• Lifetime licenses grant perpetual access to the specific bundle purchased (Podcast & Jump Cut, or GenAI), under the same usage limits as an individual subscription.

Sharing credentials or bypassing seat limits is strictly prohibited and constitutes grounds for immediate account termination, without refund.

3. Prohibited activities & enforcement.

You may not, and may not permit or enable any third party to:

• reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, model weights, or underlying structure of the Software or any of its components;
• extract, reconstruct, copy, or disclose any prompts, system instructions, model parameters, training data, or other proprietary methods used by the Software or its AI features;
• use prompt injection, jailbreaking, or any similar technique to alter, bypass, probe, or exfiltrate the Software’s instructions, safeguards, or internal logic;
• systematically query, scrape, or harvest the Software’s inputs or outputs in order to replicate, retrain, or build a competing product or model;
• modify, adapt, translate, or create derivative works of the Software;
• share, rent, lease, sublicense, sell, or distribute the Software to third parties;
• circumvent or attempt to circumvent any usage limit, license check, authentication, or rate limit;
• use the Software to produce content that is illegal, defamatory, hateful, or that infringes the rights of others;
• use the Software to generate deepfakes of real people without their explicit consent;
• attempt to gain unauthorized access to our servers, accounts, models, or infrastructure;
• use the Software in violation of applicable export-control or sanctions laws.

Monitoring.To protect the Software and its proprietary technology, we use automated and manual measures to detect attempts to reverse-engineer the Software or to extract its prompts, models, or other confidential components. Where such an attempt is detected, the relevant request data — including the associated account identifier, IP address, device information, and timestamps — may be logged and retained for the purposes of security, abuse prevention, and the establishment, exercise, or defense of legal claims. This processing is carried out on the basis of our legitimate interest in protecting our intellectual property; see our Privacy & Cookies Policy for details on how we handle this data.

Enforcement. Any of the activities listed above constitutes a material breach of these Terms and may violate applicable intellectual-property and trade-secret law. In addition to immediately suspending or terminating your access without refund, we reserve the right to pursue all available legal remedies, including injunctive relief and claims for damages, account of profits, and our legal costs and attorneys’ fees. Logged evidence of such attempts may be used in any related proceedings.

4. Data & privacy.

Your raw video footage is never uploaded to our servers. All editing tools (Smart Silences, Captions, Subtitles, Auto Reframe, etc.) only transmit the minimum data required to perform their task , such as audio waveforms, transcripts, or frame metadata , to our secure servers. This data is processed and discarded; we do not store it, except in short-lived error logs used for debugging.

Some features (the GenAI tools , Veo, Kling, NanoBanana, voice cloning, B-roll generation, etc.) call third-party providers such as OpenAI, Google, RunwayML, or Black Forest Labs. When you use these features, the relevant prompts and inputs are sent to the chosen provider, who applies their own privacy policy. We pass the “no training” flag where supported, but you should not upload sensitive material to GenAI features.

5. AI-generated content.

Outputs produced by AI features may not be 100% accurate or free of bias. You are solely responsible for reviewing AI-generated content before publishing or distributing it, and for ensuring you have the necessary rights, licenses, and clearances for any input material you provide.

Subject to compliance with these Terms, you retain ownership of the content you produce with the Software. We claim no ownership over your edits, your footage, or your final exports.

6. Payments & refunds.

Paid plans are billed through Stripe on a recurring basis (monthly or annual). Lifetime licenses are charged once.

• Subscriptions: 7-day money-back guarantee from your first charge. Cancel anytime , access continues until the end of the billing period.
• Lifetime licenses: 60-day money-back guarantee from purchase. After this window, refunds are issued only in cases of proven technical failure.
• Credits used on third-party AI models (Fal.ai and others) are non-refundable once consumed.

To request a refund, email admin@premierecopilot.com from the address used to purchase. We process refunds within 24 hours.

7. Intellectual property.

The Software, the website, the brand “PremiereCopilot”, the logo, and all related assets are the property of PremiereCopilot or its licensors. Adobe®, Premiere Pro® and related marks are trademarks of Adobe Inc. and are referenced for compatibility purposes only.

You retain ownership of your content. By using the Software, you grant us a limited license to process your content as required to provide the service.

8. Limitation of liability.

To the maximum extent permitted by law, PremiereCopilot will not be liable for:

• loss of data or corrupted Premiere Pro projects;
• unintended edits or exports caused by automation;
• service interruptions of third-party providers;
• indirect, incidental, special, or consequential damages.

Our aggregate liability for any claim related to the Software is capped at the total amount you paid us in the twelve (12) months preceding the claim.

We strongly recommend keeping versioned backups of your Premiere Pro projects.

9. Termination.

We may suspend or terminate your license, without refund, if you:

• violate any provision of these Terms;
• tamper with, copy, or distribute the Software;
• share an account, exceed the seat limit, or resell access;
• use the Software for unlawful purposes or to harm others.

Severe violations (account sharing, license tampering, fraudulent chargebacks) may result in legal action.

You may terminate your subscription at any time from your account settings.

10. Changes to terms.

We may update these Terms periodically. Material changes will be announced by email or in the plugin. Continued use of the Software after changes take effect constitutes acceptance of the updated Terms.

11. Governing law.

These Terms are governed by the laws of France. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France, except where mandatory consumer protection law of your country of residence provides otherwise.
